Filelayer

Terms for the Filelayer paid plans

These terms cover the paid Filelayer plans, Team and Business. They are an agreement between your organization and Technology Pro Bono S.L., a company registered in Spain ("we"), which sells the plans and provides the services described here. They apply to businesses only: the plans are not offered to consumers.

The Filelayer library is licensed separately under the Apache License 2.0. Nothing in these terms changes that licence, restricts your use of the library, or makes any part of it depend on a paid plan. If you stop paying, the library keeps working exactly as before.

1. What each plan includes

Every paid service is delivered in writing: email, written reviews and security advisories. No plan includes calls or meetings.

Team, US$99 a month per organization, for up to 5,000 billable file owners across the organization's applications:

Business, US$299 a month per organization, for up to 50,000 billable file owners:

Enterprise, for more than 50,000 billable file owners: terms are agreed in writing, by email to enterprise@filelayer.dev.

2. What no plan includes

3. Targets

The two-business-day reply time and the 10-business-day delivery time are targets. Missing a target is not a breach of these terms and does not entitle you to a refund or a credit.

4. Billable file owners

A billable file owner is a distinct owner with at least one live, ready file during a calendar month (UTC), counted per organization across its applications. A person a file is shared with is not its owner and is not counted.

You declare the number yourself, using the query published on the pricing page, run against each of your Filelayer databases. If your count is above your plan's limit for two consecutive months, you move to the next plan from the following billing month.

We may ask, at most once a year and with 30 days' notice, for the query results behind your declaration for the months in question. We do not access your systems to check. Anything you send us for this is confidential and is used only to check the declaration. If the count was above your plan's limit, you move to the right plan from the following billing month.

6. Your data

Support and reviews work from what you choose to send us. Send only what is needed, and do not send personal data about your users unless it is necessary for the request. If you do, tell us, and we will use it only to answer that request and delete it once the request is closed.

How we handle personal data about you, as a buyer of a plan, is in the privacy policy.

7. Warranty and liability

The library is provided "as is" under the Apache License 2.0, which contains its own disclaimer of warranty and limitation of liability.

We provide the paid services with reasonable skill and care. To the extent the law allows, our total liability arising from a paid plan in any 12-month period is limited to the fees you paid for that plan in that period, and we are not liable for indirect or consequential loss, including loss of data, profit or business. Nothing in these terms limits liability that cannot be limited by law.
